These Terms of Use ("Terms") govern your access to and use of klickpens.com, the KlickPens provider portal and related services (together, the "Services") operated by KlickPens ("KlickPens", "we", "us"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Who may use the Services

The Services are intended for licensed healthcare practices, medical spas and telehealth providers and their authorized staff ("Clinics"). The Services are not directed to patients or the general public. You represent that you are at least 18 years old and are authorized to act for the Clinic you register.

2. Nature of the Services

KlickPens is not a pharmacy and does not compound, dispense or sell prescription medications. KlickPens operates an ordering and account platform through which approved Clinics submit patient-specific prescriptions to an independent, licensed 503A compounding pharmacy partner ("Pharmacy"). The Pharmacy compounds and dispenses each preparation pursuant to a valid prescription from a licensed prescriber, labeled for the individual patient. Compounded drugs are not FDA-approved and have not been evaluated by the FDA for safety, effectiveness or quality.

3. Clinic accounts and approval

Access to pricing and ordering requires an approved Clinic account. You agree to provide accurate business, prescriber, NPI and license information, to keep it current, and to keep your login credentials confidential. You are responsible for all activity under your account. We may suspend or terminate accounts that provide inaccurate information or violate these Terms or applicable law.

4. Prescriptions, patients and shipping

Every order must be for a named patient under the care of a licensed prescriber who holds an active license in the patient's state of residence and in the ship-to state. Preparations ship only to the patient's address or to the Clinic for in-office administration to that patient. No office-use stock, resale, redistribution or transfer is permitted. The Clinic and its prescribers are solely responsible for patient evaluation, prescribing decisions, dosing, monitoring and all clinical care.

5. Clinic Certification and Ordering Agreement

Ordering is subject to the Clinic Certification and Ordering Agreement presented and signed in the portal. If these Terms conflict with that Agreement, the Agreement controls for ordering, payment and compliance matters.

6. Pricing and payment

Pricing is shown to approved Clinics in the portal and may change. Orders are processed after payment is received. Taxes, shipping and any applicable fees are stated at checkout. Refunds for compounded, patient-specific preparations are limited as described in the portal because such preparations cannot be returned or resold.

7. Acceptable use

• Do not use the Services for any patient without a valid, patient-specific prescription.
• Do not misrepresent licensure, NPI, state authorization or patient information.
• Do not attempt to access other Clinics' data, probe or disrupt the Services, or scrape the Services.
• Do not market compounded preparations to the public using claims not permitted by law.

8. Intellectual property

The Services, the KlickPens name and logo, the KlickPen™ mark, and all content are owned by KlickPens or its licensors and protected by law. We grant you a limited, revocable, non-exclusive license to use the Services for your Clinic's internal business purposes.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, KLICKPENS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Nothing on the Services is medical advice.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KLICKPENS AND ITS OWNERS, OFFICERS, EMPLOYEES AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO KLICKPENS IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless KlickPens from claims, losses and expenses (including reasonable attorneys' fees) arising from your Clinic's prescribing, clinical care, misuse of the Services, or breach of these Terms or applicable law.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.

13. Changes

We may update these Terms by posting a revised version with a new "Last updated" date. Continued use after an update means you accept the revised Terms.
